Overview:

StaffDNA, a Texas Limited Liability Corporation, (the “Company”) engages with companies and employers (the “Facility”) to allow them to publish job vacancies within StaffDNA’s staffing technology platform (the “Platform”) for a limited time. The Platform is expressly developed to enable and streamline interactions between employers and qualified candidates, providing a user-friendly and accessible system for the display of employment opportunities. Approved Facilities will be given access to post jobs and receive leads from those job posts as requested per their selections during the sign-up process for the purposes of recruiting Physicians and Advanced Practice Professionals.

Services Provided

Provider Job Listings: The Facility will be authorized to post job openings for Providers on the Company's Platform. For purposes of this agreement, “Providers” shall include, physicians, nurse practitioners, physician assistants, certified nurse midwives, certified registered nurse anesthetists (CRNAs), anesthesia assistants, and audiologists."
Posting Services: The Company agrees to post the Facility's job openings through XML feeds, website data integration, email instructions, or other delivery methods as mutually agreed upon by the parties. The Facility shall have the future capability to add, modify, or remove job postings as desired. All job postings will be listed under the name of the Facility or organization at which the posted positions are intended to operate or by which they are employed.
Exposure of Information: The Facility acknowledges and understands that job openings shall be publicly accessible and visible to both registered and non-registered users of the Platform. The Facility will ensure that only information that is allowed to shared publicly will be provided for the job openings.
Job Leads/Applications: Job applications shall be automatically transmitted to the Facility’s designated email address on file. Such applications shall contain either basic contact information and/or a resume, in accordance with the options selected by the Facility during the registration process. The Facility, including its employees, agents, and representatives, hereby agrees not to disclose, distribute, or resell, directly or indirectly, any information pertaining to Provider leads received from the Company to any third party at any time or in any manner.
Support: Technical support will be provided to the Facilities by the Company via email. The following email address will be used for issues related to job postings: providerservices@staffdna.com.

Posting Limitations

Number of Job Posts: The Facility shall be permitted to maintain a number of active job postings at any given time that corresponds to the selections made during the registration process.
Duration of Posting: Each job posting shall remain active until such time as the Facility requests its removal or the position is no longer available. Job postings may be reviewed on the Facility’s website on a monthly basis, upon request by the Facility and as time and technology permit, to verify position closures. The Facility shall bear sole responsibility for the accuracy of all job postings.
Content Guidelines: All job postings must adhere to the Company’s content policies and comply with applicable labor and employment laws.

Content Ownership and Licensing

Ownership: The Facility retains ownership of all job posting content posted to the Platform.
License to Company: Facility grants the Company a worldwide, non-exclusive, royalty-free license to display, distribute, and promote all information related to their job postings on the Platform.

Responsibilities of Facility

Accuracy: The Facility is responsible for ensuring all job posting information is accurate, current, and complies with applicable laws. Compliance: The Facility agrees to comply with applicable labor, employment, and anti-discrimination laws. Non-Discrimination: Job postings shall not include any language, requirements, or criteria that are discriminatory in nature, nor shall they embody any form of bias that contravenes applicable legal provisions, regulations, or the Company’s established policies, values, or ethical standards.

Company’s Rights

Content Review and Removal: The Company hereby reserves the unilateral right, in its sole discretion, to review, reject, or remove any job posting that, in the Company's determination, violates any applicable laws or is otherwise deemed inappropriate or unsuitable in accordance with the Company's policies or standards. Modification of Services: The Company reserves the right to modify or terminate the Facility’s usage of the Platform at any time, with reasonable notice to the Facility.

Limitation of Liability

The Company is not liable for any inaccuracies in job postings, and it is not responsible for the hiring outcome or any employment relationship resulting from postings on the Platform.

Confidentiality and Privacy

Privacy of Data: The Company will handle any personal information provided through the job posting in accordance with its Privacy Policy. Confidentiality: The Company agrees to maintain confidentiality regarding any Facility-specific information disclosed through the use of the Platform, unless disclosure is required by law.

Governing Law and Dispute Resolution

Governing Law: These terms and conditions are governed by the laws of Collin County, Texas. Dispute Resolution: Any disputes arising from the use of the Platform will be resolved through arbitration as agreed upon by both parties.

Termination

Termination by Employer: The Facility may terminate their account and cease using the Platform at any time.
Termination by Company: The Company may terminate access to the Platform if the Employer violates these terms or any applicable policies.
