Overview:
The Job Posting and Lead Service allows companies/employers to post job openings on our platform. This service is designed to facilitate connections between employers and qualified candidates by providing a simple, accessible platform for job listings.
1. Parties Involved
a. Technology Company: StaffDNA (the “Company”)
b. User: The Facility or Health System [approved below] posting jobs (the “Facility”)
2. Services Provided
a. Provider Job Listings: Facility can post Provider job openings on the Company’s platform. Providers include physicians, nurse practitioners, physician assistants, certified nurse midwives, CRNAs, anesthesia assistants, and audiologists.
b. Posting Services: Company agrees to post Facilities jobs via XML feeds, website data, email instructions or other mutually agreed upon delivery method. Facility will have future capability to add, revise, remove job postings if desired. All jobs will be posted under the facility/organization working at or employed by.
c. Basic Exposure: Listings are publicly available and visible to registered and non-registered candidate users of the technology platform.
d. Job Leads/Applications: Jobs applications will be automatically forwarded to the Facility’s email address on file. These leads will include either basic contact information and/or resume commensurate with the choices the client has selected during the registration process. Client, its employees, agents, and representatives, hereby agree that it will not at any time or in any manner, either directly or indirectly, share or resell to any third party any information received regarding the Provider leads received from Company.

3. Posting Limitations
a. Number of Job Posts: The Facility is allowed active job postings at any given time.
b. Duration of Posting: Each job post will remain active until the Facility asks for post to be removed or when job is no longer available. Jobs are reviewed on Facility’s website monthly for closures.
c. Content Guidelines: All job postings must adhere to the Company’s content policies and comply with applicable labor and employment laws.
4. Content Ownership and Licensing
a. Ownership: The Facility retains ownership of all job posting content posted to the platform.
b. License to Company: Facility grants the Company a worldwide, non-exclusive, royalty-free license to display, distribute, and promote the job posting on the platform.
5. Responsibilities of Facility
a. Accuracy: The Facility is responsible for ensuring all job posting information is accurate, current, and complies with applicable laws.
b. Compliance: The Facility agrees to comply with applicable labor, employment, and anti-discrimination laws.
c. Non-Discrimination: Job postings must not contain discriminatory language, requirements, or any form of bias that violates applicable laws or platform policies.
6. Company’s Rights
a. Content Review and Removal: The Company reserves the right to review, reject, or remove any job posting that violates platform policies, or applicable laws, or is deemed inappropriate.
b. Modification of Services: The Company reserves the right to modify or terminate the Job Posting Service at any time, with reasonable notice to the Facility.
7. Limitation of Liability
a. The Company is not liable for any inaccuracies in job postings, and it is not responsible for the hiring outcome or any employment relationship resulting from postings on the platform.
8. Confidentiality and Privacy
a. Privacy of Data: The Company will handle any personal information provided through the job posting in accordance with its Privacy Policy.
b. Confidentiality: The Company agrees to maintain confidentiality regarding any Facility-specific information disclosed through the use of the platform, unless disclosure is required by law.
9. Governing Law and Dispute Resolution
a. Governing Law: This term sheet is governed by the laws of Collin County, Texas.
b. Dispute Resolution: Any disputes arising from the use of the Job Posting Service will be resolved through arbitration as agreed upon by both parties.
10. Termination
a. Termination by Employer: The Facility may terminate their account and cease using the Job Posting Service at any time.
b. Termination by Company: The Company may terminate access to the Job Posting Service if the Employer violates these terms or any applicable policies.
